Terms & Conditions of Sale and Delivery

Welcome to AUS40Marine.com (“Website,” “we,” “us,” or “our”). AUS40Marine.com is operated in connection with ExhaustFluid.com, Inc. These Terms & Conditions govern both your use of this Website and the purchase of marine urea products and related services supplied by ExhaustFluid.com, Inc. (“Seller”).

By accessing or using this Website or purchasing products or services, you agree to these Terms. If you do not agree, do not use this Website or our services.


1. Use of the Website

You must be at least eighteen (18) years old to request services or submit inquiries through this Website.

You agree not to use this Website for unlawful purposes or in any manner that disrupts, damages, or interferes with its functionality, security, or availability.

We may suspend or terminate access to the Website at our discretion for violations of these Terms.


2. Products and Services

We supply marine urea and related logistics services, including bulk tanker deliveries, ship-to-ship, truck-to-ship, terminal, and facility-based deliveries.

While we strive to provide accurate descriptions, pricing, and availability, errors may occur. We reserve the right to correct errors or decline requests impacted by such errors.

All prices are stated in U.S. dollars unless otherwise specified and exclude taxes, duties, fees, and surcharges unless expressly stated in writing.


3. General Applicability and Governing Law (Commercial Sales)

These Terms apply to all products, services, and deliveries supplied by ExhaustFluid.com, Inc. to the customer, including deliveries to vessels, terminals, facilities, or designated receiving parties.

These Terms supersede any conflicting customer terms unless expressly agreed to in writing by Seller. Applicable United States commercial law applies where not otherwise addressed.

Commercial transactions are governed by the laws of the United States and the laws of the state in which ExhaustFluid.com, Inc. is incorporated or conducting business, without regard to conflict-of-law principles.


4. Quotations and Pricing

All quotations are valid for fourteen (14) calendar days unless stated otherwise in writing.

Prices are based on raw material costs, manufacturing expenses, transportation rates, currency conditions, and market availability at the time of quotation. Seller reserves the right to adjust pricing prior to order confirmation due to cost increases, supply disruptions, regulatory changes, or force majeure events.

Unless otherwise stated, prices are quoted ex works or from the point of storage and exclude taxes, pallets, special packaging, and additional freight services.


5. Order Acceptance and Payment

Submitting a purchase order or accepting a quotation constitutes an offer to purchase. A sale is final upon Seller’s written acceptance or confirmation.

Standard payment terms are net thirty (30) days from the invoice date unless otherwise agreed in writing. Seller may require advance payment, alternative terms, or financial guarantees.

Late payments may accrue interest at one percent (1%) per month. Title to goods remains with Seller until payment is received in full.


6. Delivery Conditions and Risk

Buyer must accept delivery at the agreed time, location, and method and comply with all safety procedures, site requirements, and local regulations.

If no delivery time is specified, Seller may deliver when the product is ready. If Buyer cannot receive delivery, Seller may invoice the product no later than fourteen (14) days after the scheduled delivery date.

Risk of loss transfers to Buyer once the product departs the point of dispatch, unless otherwise agreed in writing.


7. Bulk Tanker Delivery Terms

Bulk tanker deliveries are scheduled for a specific arrival time.

The first one (1) hour of on-site time is included. Additional time is billed at $150 per hour in fifteen (15) minute increments.

Weekend deliveries are subject to a $500 surcharge per truck.

If a load is declined for reasons not caused by Seller or its carriers and must be returned, Buyer is responsible for fifty percent (50%) of the product value.

If pumping into IBC totes and return to a warehouse is required, Buyer bears all related labor, equipment, packaging, handling, and transportation costs.


8. Live Load Deliveries

Live load deliveries involve a dry van remaining on site while IBC totes are pumped.

Two (2) hours of on-site time per truck are included. Additional time is billed at $150 per hour per truck.


9. IBC Freight and Unloading

All quoted IBC freight assumes lift-gate service and driver assist unless otherwise agreed in writing.

Failure to disclose access limitations, unloading restrictions, or site conditions may result in additional charges billed to Buyer.


10. Quantities, Packaging, and Pallets

Standard products are supplied in standard packaging.

Custom or special orders may vary by plus or minus ten percent (±10%).

Pallets may be charged separately. Credits for returned pallets are subject to condition and approval. Buyer is responsible for return transportation costs.


11. Product Specifications and Quality

Products are supplied according to Seller’s standard specifications unless otherwise agreed in writing. Seller may select raw materials and suppliers at its discretion.

Acceptance of samples does not permit cancellation unless delivered product materially deviates from agreed specifications.

Minor deviations up to one percent (1%) in volume or specification are acceptable.


12. Claims and Limitation of Liability

Claims must be submitted in writing within fourteen (14) days of receipt. Samples must be provided upon request.

Seller is not liable for indirect, incidental, or consequential damages, including lost profits, downtime, or operational losses.

If a defect attributable to Seller is confirmed, Seller’s liability is limited to product replacement or refund of the original order value, at Seller’s discretion.

Products and services are provided “as is” to the fullest extent permitted by law.


13. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, labor disputes, governmental actions, supply chain disruptions, or transportation interruptions.

Affected obligations are suspended for the duration of the event. Either party may cancel affected orders without penalty.


14. Intellectual Property

All Website content, including text, images, logos, and branding, is owned by AUS40Marine.com or its licensors and protected by applicable intellectual property laws.

Unauthorized reproduction, distribution, or modification is prohibited.


15. Changes to These Terms

We may update these Terms at any time. Continued use of the Website or services constitutes acceptance of the revised Terms.
